Three out of four mergers and acquisitions fail, according to the Harvard Business Review and the Financial Times (see The Big Idea: The New M&A Playbook).  That failure is most often due to soft issues.  HR can have a tremendous influence on the success of global M&A activity. The panelists will share their experience managing the merger and acquisition process outside of the US.  This experience is extremely varied and includes the following types of global M & A activity:

  • U.S. based HR within a US company acquiring companies in Europe, South America and Asia
  • U.S. based HR within a Japanese parent company integrating multiple organizational units in Mexico and the U.S.
  • U.S. based HR within a German parent company acquiring a South American organization

This is a great opportunity to hear real life stories of evolution from embryonic neophyte to sophisticated leader. Our panelists will discuss:     

  • Key differences between domestic and global M & A.

  • Pitfalls and pointers.

  • Intercultural differences.

  • HR’s role in the phases of the global M & A process from planning to post merger integration.

Mark Behe, Vice President, Human Resources (Americas) started his career with NORMA Group SE in 2011. In this role, he leads all human resources and organizational effectiveness initiatives for the USA, Mexico, and Brazil. He has held prior Human Resources leadership roles in multiple sectors: manufacturing & engineering, business-to-business services as well as the federal government. His responsibilities included multi-site and multi-country HR, talent acquisition and management, strategic planning, process improvement, total rewards, diversity, learning and development, and business continuity. Fifteen+ years of his career were focused in the global human resources context. As a result, he has had many opportunities to work first-hand with the core tools of business strategy and human capital strategy to successfully shape and lead integrating these strategies.


Buck Baker, Director Total Rewards and Talent Acquisition at Yazaki North America.  Buck joined Yazaki in 2008 after a long career in consulting with Capital H, Hewitt Associates, Right Management, and McKinsey.  At Kelly Services, Buck was Vice President of International Strategy.  He holds a BA in English from Harvard and an MBA in Marketing and Planning from Harvard Business School.


Jim Lewis is Vice President of Human Resources at NSF International in Ann Arbor, MI.  His responsibilities include all HR functions at over forty locations in eighteen countries, including recruiting and retention, benefits and compensation, training, organizational development, employee relations including litigation management, and strategic planning.  He has also provided due diligence for and integration of fourteen corporate acquisitions in eight countries.  NSF was a 2009 winner of the Arbor Award for HR Excellence, and Jim was named 2010 HR Executive of the Year by the American Society of Employers.


Kathy Chiaravalli, GPHR has been a global business leader for more than twenty five years.   As a global talent management consultant, Ms. Chiaravalli offers client organizations her wealth of expertise in compensation, benefits, expatriate program management, and global talent solutions.   Ms. Chiaravalli has led a wide range of human resource functions in global consumer products, automotive, high tech, and service organizations. She has traveled to 25 countries to implement HR solutions.  She has a Master’s degree from Cornell University and a certificate from INSEAD.
